  • GST advice on a variety of commercial contracts and transactions and on liabilities of receivers and liquidators in respect of various appointment issues.
 
  • Stamp duty and state taxes advice on transactional finance, restructuring and security related matters.
 
  • Conducting successful appeals through Victorian Court of Appeal and High Court, in relation to grouped land tax assessments of lands held in unit trusts, resulting in a win for the tax payer.
 
  • Advising on stamp duty and CGT implications of reconstructions of various large property holding trusts and companies, including insolvency situations.
 
  • Advising the trustee of a public superannuation fund and conducting income tax objections to prior year assessments and penalties of the fund.
 
  • Preparing and advising on public fundraising offer documents.
 
  • Advising on and drafting trust constitutions for development and opportunity funds.
 
  • Negotiating development agreements for large institutional co-investments in residential and industrial subdivision developments.
 
  • Advising on and establishing employee share and option schemes.
 
  • Advising retirement village operators on the specific stamp duty, land tax and GST issues affecting retirement villages.
