Mergers and Acquisitions

Our Mergers and Acquisition team advises on all types of corporate transactions from mergers, joint ventures, public takeovers, negotiated acquisitions, cross boarder acquisitions, foreign investment, schemes of arrangement, corporate restructures, redomiciliations and private equity acquisitions and divestments. Our highly experienced team regularly provides strategic commercial advice to a range of listed and non-listed entities.

We regularly advise clients on all areas of acquisitions and divestments, including transaction structuring, finance, competition law, foreign investment, property, environment, tax, employment, and other regulatory matters.

We understand that a merger, acquisition or divestment can represent a critical event for a corporate entity, and that the outcome of the transaction will affect an entity’s future growth and development.

Capital Markets

Our highly experienced Capital Markets team regularly advises issuers, advisers and underwriters on a range of different types of capital raisings and equity offers, including IPOs, dual listings, debt securities, hybrid securities, rights issues and placements. We assist our clients to develop and structure different financial products and securities to achieve their growth objectives.

The work undertaken by our Capital Markets team primarily includes preparing prospectuses, offer information statements, product disclosure statements, due diligence, coordinating verification of disclosure documents, drafting underwriting agreements, security trust deeds and advising listed entities on compliance with the ASX Listing Rules.

We regularly consult with the Australian Securities & Investments Commission (ASIC) and ASX to achieve our clients’ objectives in the most efficient and practicable manner.
