Gadens has advised HiTech Group Australia Ltd (ASX: HIT) (HiTech) on its acquisition of selected assets of Hudson Global Resources (Aust) Pty Limited (Administrators Appointed) (Hudson).
Hudson is a recruitment business with a 40-year history across professional and ICT recruitment, project services and workforce solutions. The acquisition, which completed on 11 September 2026, expands HiTech's national footprint and its capability across government and private sector markets.
Gadens advised HiTech on all aspects of the transaction, including the particular challenges of acquiring assets from administrators. Bringing together specialists in corporate, restructuring and insolvency, competition, employment, property and intellectual property, the team advised on structuring and executing the acquisition, the ACCC notification and HiTech’s ASX disclosure obligations. Gadens also oversaw the transfer of employees, consultants, key client and supplier contracts, leases and intellectual property.
By combining transactional experience with a practical understanding of the administration process, Gadens helped HiTech complete the acquisition within a tight timeframe.
Lead Partner Jol Rogers said:
“Buying a business out of administration requires speed and certainty. We were able to mobilise specialists from across the firm to work in parallel on the ACCC notification and the transfer of clients, employees and consultants. HiTech's management team and financial advisers were excellent to work with and we are delighted to have helped them secure a business that strengthens HiTech's market position.”
