Gadens advised 3P Learning, a global leader in online learning for school-aged students, on a series of significant corporate transactions, including a proposed takeover by IXL Learning, Inc. and a subsequent competing proposal from Byju’s.

Gadens  advised 3PL on all aspects of the transactions, including the proposed scheme of arrangement with IXL, the company’s response to a competing proposal from Think and Learn Private Ltd (Byju’s) and the subsequent, successful completion of a proposed merger with Blake eLearning Pty Ltd (BeL).

The proposed merger with BeL, valued at approximately $185m, was expected to transform 3PL’s business by doubling its market capitalisation and combining its established B2B education technology platform with BeL’s fast-growing B2C offering.
