Advice on the spectrum of transactions
We advise on high profile, complex matters that often require short time frames to completion.  We work on front end transactions involving commercial and institutional lending, structured and mezzanine finance including club and syndicated structures.    
The asset classes we advise financiers on include general corporate debt, acquisitions, takeovers, resources, property, construction and projects. 
We regularly guide borrowers on the appropriateness of the documents that they are asked to enter into and guide them through the finance process with speed and efficiency.

Our Port Moresby office has helped us to cement our position as a leading adviser to banks, financial institutions, corporate borrowers and project sponsors in the Asia Pacific region.  We have particular expertise in assisting our Australian banking clients to follow their customers into the region and strong experience in trade and receivables financing, project and infrastructure financing and agribusiness.
Experience
  • Advising a lending syndicate on a property workout for a high profile and complex $A400m syndicated loan for a development project in Melbourne.
  • Acting under the instructions of the agency team of a top four Australian bank, documenting a syndicated facility refinancing a major hotel portfolio and debt restructuring with a loan size of $A220m and security over 15 separate properties and trustee entities, dealing with significant stamp duty issues.
  • Representing a major Australian bank in connection with a $A200m funding to a private investment vehicle linked to a major retailing company. 
  • Acting as local counsel in Papua New Guinea in a $US200m syndicated facility to a company in order to fund an acquisition.  This was a multi-jurisdictional transaction involving securities from the United Kingdom, Singapore, the Solomon Islands, Australia and Papua New Guinea.
  • Advising various banks and finance companies regarding the new PPSA regime.
  • Acting on behalf of the MFAA advising lenders, aggregators, mortgage managers and brokers on all aspects of the National Consumer Credit Protection Act and Code.
  • Advising on the obligations under the Corporations Act 2001 and regularly advising on issues relating to compliance with prudential requirements of the Banking Act 1959 including acting for Laiki Bank (Australia Ltd) and Central Bank of PNG.
  • Advising in relation to requirements imposed by the Anti-Money Laundering/Counter Terrorism Financing Act, 2006 (AML/CTF Act) including lobbying for clients, acting for the MFAA "AML/CTF Task Force", developing AML/CTF Compliance Solutions and ad-hoc AML/CTF Compliance related questions.
