Matthew is an experienced lawyer with 30 years spent both in-house and with major law firms in Brisbane, Sydney, Melbourne, London, the Cayman Islands and Hong Kong. Matthew has a diverse range of legal, commercial, and senior management skills.

Specialising in financial services regulation, Matthew also advises on a range of general commercial, corporate, property, and banking and finance matters including Australian Credit Licenses (ACL) and Australian Financial Service Licenses (AFSL) applications, ASIC investigations, advising major Australian banks on numerous corporate and property financings (including shopping centres, hotels and development sites) as well as on M&A transactions and corporate finance transactions.

Matthew advises both national and international clients across an array of industries including property, finance, mining and resources, media, shipping, aviation, and agricultural.

Matthew was previously a Banking & Finance Partner at Gadens before taking up a number of in-house roles, including as Senior Legal Counsel with AMP Capital where he was lead legal advisor on significant international fund management and investment transactions in Cayman, Delaware and New York, the sale of AMP Capital’s shopping centre portfolio to GPT, and advised on the debt restructure as part of the sale of fund management portfolios in Australia to Dexus, and in the UK to DigitalBridge.

Some examples of Matthew’s recent experience in his major areas of focus include:

• Advising Auto&General (Budget Direct) on numerous regulatory and commercial matters.
• Reviewing product disclosure statements and target market determinations, and advising on design and distribution obligations.
• Advising a global investment manager on its $1B investment in a global retail platform transacted through a Cayman Islands and Delaware investment funds management structure.
• Corporate and commercial advice to Group companies of McMillan Shakespeare Limited
• Presentations at the Australian Build to Rent conferences in Sydney and Melbourne
• Advising major financers on asset finance and structured finance transactions, and ISDA documentation
• Advising a Queensland fund on the structure, governance arrangements, licensing approvals and management with respect to the acquisition and improvement of 14 fuel stations.
• Providing breach reporting advice to numerous financial and insurance companies
• Establishing funds for various fund managers and quasi-government entities
• Acting for numerous corporate borrowers on syndicated and bilateral loan documentation and securities law, including PSPR and Financial Assistance.
